Purpose of Position
The position holder (the “PH”) will
- contribute to the long-term strategy of Mölnlycke’s joint venture company (the “Company”) in China with Zhende Medical;
- foster and enable the Company, including its employees, to be and remain compliant with Mölnlycke business ethics as well as with local legal requirements;
- oversee the development and implementation of the Company’s business ethics compliance program and provide daily support on business ethics issues;
- implement and keep a compliance program (including trainings and policies etc.) up-to-date;
- contribute to Legal Affairs team and work with stakeholders and client groups locally and, if needed in order to support the local Chinese business, on a global scale;
- partner to provide proactive legal advice and support, including compliance, to enable delivery of the Company’s strategy;
- strive to ensure that the Company is conducting its business in a legal manner and will be responsible for escalating cases of misconduct in the local markets to Business Ethics Officer APAC, if local management does not enforce misconduct properly or does not put in place required measures to mitigate risk and prevent misconduct; and
- work to formulate business strategies that minimise the probability of uncalculated and unacceptable legal risk exposure in the Company’s decisions and operations.
The PH has an end-to-end responsibility for the following stakeholder/client groups:
The PH is responsible for supporting and implementing long and short-term strategy for the Company making sure the operations of the Company is compliant with Mölnlycke’s business ethical standards as well as local Chinese laws and regulations while supporting the Company’s commercial evolvement. The PH shall see to that a compliance program is duly implemented and kept up-to date pursuant to at least Mölnlycke’s ethical business standards.

The PH will provide support independently in relation to the non-exhaustive list of examples below.
The legal support will consist of inter alia drafting, reviewing, revising, educating and training, providing advice and participation in negotiations in relation to
- Commercial matters where the Company needs legal expertise;
- Tender agreements and documentation
- Corporate governance documents
- Non-disclosure agreements and material transfer agreements
- Distribution agreements
- E-commerce agreements
- Consumer law
- Marketing laws and regulations (in relation to medical devices and consumers as well as healthcare professionals)
The PH shall build effective working relationships within the Company and Mölnlycke and mobilizing appropriate internal and/or external resources to support in delivering business and functional strategy.
The PH shall support the local managers in their responsibility for implementation of Code of Conduct and other business ethics policies and SOPs.
On occasion, the PH will lead relevant projects / activities outside their client areas when requested by the General Counsel.
The PH shall contribute to the Company being compliant pursuant to Mölnlycke’s standards and, to the Legal Affairs function result through its own deliverables; identifying areas of improvement across all Legal Affairs areas and mentoring more junior team members to develop in their roles (to the extent such roles exist).
The PH shall identify local market trends and risks and develop mitigation measures in collaboration with the business and other staff functions and, facilitate/align/develop best practices across the entity.
Where mandated, the PH shall assist in or conduct local business ethics investigations and reviews and develop mitigation and action plans and support execution of such action plans.
The PH shall support channel partner colleagues to conduct third party due diligence of distributors and other third parties, including providing recommendations on corrective actions on due diligence findings and proactive communication including training efforts externally with third parties.
People management responsibilities may be indirect or direct and certain responsibilities will come with those.
The PH will have a dotted line to the Business Ethics Officer APAC (or similar role) in Mölnlycke.

What you'll decide
This position is an experienced generalist with deep knowledge of key activities required by the Company’s business and will know when to escalate or ask advice from General Counsel and/or Business Ethics Officers, external counsel or specialist Legal Affairs colleagues or other experts within Mölnlycke.
Sole decision making from a legal approval perspective limited to:
- Marketing materials for China;
- Decisions relating to agreements (commercial and non-commercial) within area of end-to-end responsibility excluding, however,
- Agreements of significant importance to the company (financial value or risk)
- Agreements outside of own areas
- Compliance/business ethics matters that could have a global impact and/or be of material importance to the Company and/or Mölnlycke’s operations in China
If the local management does not take the business ethics advice provided by the PH, and this may lead to a significant risk to the company or to Mölnlycke, the PH is responsible for escalation to the Business Ethics Officer APAC or to the General Counsel.
Shared decision with General Counsel or Business Ethics Officer APAC – any related matters requested by General Counsel or Business Ethics Officer APAC.
What you'll need
o Law Degree/Masters or equivalent
o Successful track record in similar role in a multinational company working international across different countries or experience from well reputed law firm(s) (in total 8-10 years work experience)
o Knowledge in various areas including commercial agreements (distribution, e-commerce); marketing law; consumer law (incl. complaint handling), data privacy, international business ethics and anti-corruption and similar compliance regulation including industry codes as well as local Chinese regulation and codes; employment law; competition/anti-trust law; trade compliance (e.g. sanctions) regulation
o Experience in life sciences/medtech and pharma preferred with excellent legal, business ethical, and business judgement
o Demonstrates ownership, high integrity and reliability as well as capability to work independently, collaborative and inquisitive
o Managing external legal counsel(s)
o Experience of operating successfully in a complex organisation with multiple stakeholders and competing priorities as well as understanding of business and cultural principles,
o Excellent communication skills and, fluent in verbal and written English as well as Chinese
